Our corporate practice includes advising on the most suitable company form for our clients, setting up the company, drafting operating agreements and bylaws, and advising on managing it on a day-to-day basis regarding the rights and obligations of management, fiduciary duties, financing and acquisitions. In the framework of our commercial practice we negotiate and draft commercial contracts such as joint ventures, and purchase as well as distribution agreements.
Our law firm works with a broad range of federal, state and local government agencies to obtain all necessary permits for our clients. We advise on setting policies that are compliant with all applicable regulations in areas such as data privacy, product liability, fair commerce practices and consumer protection. We develop entire corporate compliance programs and deliver training programs to various departments.
Estates and Trusts
We assist our international clients in navigating through the U.S. federal and state income and estate tax system. We regularly counsel clients about wealth management strategies, including cross-border charitable giving and planning with foreign trusts. In addition, we assist clients in response to IRS offshore compliance audits. In rare cases we also perform estate administration on behalf of heirs based abroad whose relatives had passed away in the United States.
We procure business and immigration visas on our clients’ behalf. We assist permanent residents in obtaining the US citizenship. We assist German clients in retaining their German citizenship by procuring a special permission for dual citizenship (Beibehaltungsgenehmigung).
Intellectual Property Law
We advise on protecting intellectual property rights by negotiating and drafting licensing and transfer contracts, and registering trademarks and copyrights with the United States Patent and Trademark Office.
We advise on the hiring process, negotiate and draft employment agreements, set up employee policies, create employee manuals and deliver training to employees.
Litigation and Alternative Dispute Resolution
We litigate in federal and state courts in the states where we are admitted: District of Columbia, Virginia, Maryland, Michigan and Germany.
